Terms of Service

These Terms govern your use of SIDRA AGENT OS. By purchasing, installing, activating, or using SIDRA, you agree to these Terms.

1. The service

SIDRA AGENT OS ("SIDRA", "we", "us", or "our") is a Windows software and service that connects supported AI clients, including ChatGPT, to a protected local runtime on your computer. Depending on the task and permissions you provide, SIDRA can read and modify files, execute commands, operate supported browser workflows, run tests and builds, and perform other development actions on your machine.

2. Eligibility and authority

You must have legal capacity to enter into these Terms. You may use SIDRA only on computers, accounts, files, systems, repositories, websites, and services that you own or are authorized to access and control. If you use SIDRA for an organization, you represent that you have authority to bind or act for that organization where required.

3. Subscription and license

The current SIDRA Pro plan is offered at USD $20 per month unless a different price is clearly shown at checkout. Your purchase provides a limited, non-exclusive, non-transferable, revocable license to use SIDRA during an active paid subscription. The current Pro plan permits one active device unless the checkout or plan description expressly states otherwise.

You may not resell, sublicense, share private activation or connector credentials, bypass device limits, defeat licensing controls, or use one subscription to provide unauthorized access to multiple unrelated users or devices.

4. Billing and renewal

Checkout and recurring billing are handled by Paddle as merchant of record. Subscriptions automatically renew monthly until canceled. Paddle may collect taxes and provide invoices, receipts, subscription management, cancellation, and refund support. Your payment relationship with Paddle is also governed by Paddle's applicable buyer terms.

You may cancel at any time. Unless applicable law requires otherwise, cancellation takes effect at the end of your current paid billing period and prevents future renewals. See our Refund & Cancellation Policy for details.

5. Local execution and your responsibility

SIDRA can perform real actions on your computer. You are responsible for choosing appropriate workspaces, permissions, instructions, credentials, backups, and review practices. You should review important changes and maintain backups appropriate to your work. You remain responsible for decisions, code, content, deployments, purchases, communications, and other outcomes resulting from actions you authorize.

SIDRA includes safety controls intended to reduce unauthorized or high-risk actions, but those controls do not replace your own security practices, access controls, code review, testing, or professional judgment.

6. Acceptable use

You may not use SIDRA to violate law, infringe rights, gain unauthorized access, distribute malware, steal credentials or data, evade security controls, disrupt services, or perform activity you are not authorized to perform. You may not intentionally interfere with SIDRA's licensing, security, relay, or abuse-prevention systems.

7. Third-party services

SIDRA can interact with third-party services such as ChatGPT/OpenAI, Paddle, Cloudflare, browsers, developer platforms, and services that you choose to connect. Those services are governed by their own terms, privacy notices, availability, and account rules. SIDRA is not responsible for third-party service changes, outages, suspensions, or decisions.

8. Updates and compatibility

We may release security, compatibility, reliability, or feature updates. Continued access may require a supported version of Windows, Node.js, ChatGPT, browser components, or other dependencies described in our current documentation. We may discontinue obsolete versions when reasonably necessary for security or service integrity.

9. Suspension and termination

We may suspend or terminate access where reasonably necessary for non-payment, fraud, abuse, credential compromise, security risk, material violation of these Terms, legal requirements, or protection of users or infrastructure. Where appropriate, we will provide notice or an opportunity to resolve the issue.

You may stop using SIDRA and cancel your subscription at any time. Termination does not remove obligations or rights that by their nature survive termination.

10. Intellectual property

SIDRA software, branding, service design, documentation, and related intellectual property remain owned by or licensed to SIDRA. These Terms grant only the right to use the product during your valid subscription. Your own source code, files, prompts, projects, and other content remain yours or your licensors' property.

11. Service availability and warranties

We aim to provide a reliable service, but development tools depend on local machines, networks, operating systems, browsers, AI providers, and other third-party systems. To the maximum extent permitted by law, SIDRA is provided on an "as is" and "as available" basis without a guarantee that every task, integration, or third-party workflow will be error-free or continuously available. Nothing in these Terms limits warranties or consumer rights that cannot lawfully be excluded.

12. Liability

To the maximum extent permitted by applicable law, SIDRA will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, data, business opportunity, or goodwill arising from use of the service. Any limitation applies only to the extent permitted by law and does not exclude liability that cannot legally be excluded.

13. Changes to these Terms

We may update these Terms to reflect product, security, provider, or legal changes. The latest version and effective date will be published here. Where required by law, material changes will be communicated before they take effect.
